Job Description

This position plays a key role in integrating our Merger, Acquisition and Venture activity into our ecosystem. Achieved through activities such as stress testing the business plan, synergies, capital structure and transitional service agreements. From an Integration perspective, you will be charged with ensuring operations and affiliates within our portfolio are set up for success in areas such as performance monitoring and using the expertise of our central services.

KEY ACCOUNTABILITIES

  • Direct discussions with the team to embed finance requirements into the deal structure
  • Coordinate with the Strategy teams to ensure the findings from financial due diligence are accurately reflected in business plan
  • Direct Financial due diligence including negotiations and hiring of external advisers
  • Lead end-to-end engagement process
  • Manage the internal budget approval process
  • Lead daily interactions with external advisers
  • Lead delivery of agreed deliverables within budget
  • Ownership of synergies / dis-synergies based on bottom up analysis backed by internal benchmarks
  • Ownership of synergy estimates and coordination with the Strategy team to ensure these are accurately reflected in the business plan
  • During the diligence phase, own the cost synergy validation process
  • Balance the value trade between purchase price and transitional service revenue
  • Ensure standardized CAR approach for the evaluation and performance monitoring of all acquisition plans
  • Post signing play a key role in the integration planning process with focus on synergy delivery and Day 1 readiness
  • Post closure ensure synergy realization and provide analysis of targeted versus achieved results
  • Support local teams in the delivery of integration plans across our affiliates
  • Identify financial integration issues and advise the project team to facilitate a successful integration and seek to improve the process based on benchmarks
  • Ensure current and prospective portfolio investments align to our Finance standards and principles
  • Instil best practices and performance monitoring

Required Knowledge, Skills, and Abilities
  • Strong academic background, Undergraduate Degree in Finance, Accounting or Economics
  • MBA, CFA or CPA preferred but not a necessity
  • Must have experience from Investment Banking or Big 4 Transaction Services
  • Working with financial budget, actuals, business cases, modelling and project coordination
  • Solid M&A and Integration experience
  • Experience in an International or Pan-European environment
  • Ability to build a strong team with clear succession planning and career development goals
  • Unflinchingly lead a team in a fast paced environment with tight delivery targets
  • Able to work across numerous departments and subject areas to achieve a common goal
  • Excellent communication style, able to clearly and concisely convey ideas to senior management to drive timely decisions. Proactive, self-starting, pragmatic and reliable
  • Able to manage the detail while retaining the bigger picture
  • Flexible and mature outlook adaptable to changing priorities and comfortable managing workload and delivery pressures
