Job Description

Support best in class delivery of global legal entity management and Listed Plc support by working seamlessly with the Head of Secretariat and other team members to maintain the efficient day-to-day running of the Secretariat.
The successful candidate will be ICSA part qualified with three to five years’ experience and comfortable working in a fast-paced structure. This is a broad role with a large amount of stakeholder interaction required across all functions and levels of the organisation.

 

Key Responsibilities

Key accountabilities and decision ownership:

·  Subsidiary management

·  Assisting the Company Secretarial function in promoting robust corporate governance practice across all Sage Group subsidiaries, including taking ownership and timely delivery of the following projects:

·  Delegation of signing authority including issuing PoAs and monitoring renewal requirements;

·  Entity rationalisation;

·  Cash repatriation and dividend payments at subsidiary level;

·  Regularisation and update of subsidiary boards in line with the Sage Subsidiary Governance Policy;

·  Treasury initiated projects including update of bank signatories, mandates, approval of intercompany loans etc.,

·  Assisting the Company Secretarial function as and when required in ensuring statutory and regulatory compliance of the Sage Group subsidiaries, including but not limited to:

·  Assisting with UK and overseas accounts approval processes including organising subsidiary board meetings, AGMs and filing financial statements;

·  Filing confirmation statements and other country specific annual returns;

·  Keeping PSC registers and other country specific UBO registers up to date;

·  Updating and maintaining statutory registers through Blueprint;

·  Maintaining minute books.

·  Liaising with overseas corporate secretarial services providers, notaries, lawyers, accountants and auditors;

·  Collating KYC information as and when required;

·  Assisting the Company Secretarial function with day-to-day ad-hoc administrative tasks

·  Ensuring project related work remains within budget and processing invoices for payment


Skills, know-how and experience:
Must have:

·  Excellent administrative and organisational skills gained in the Company Secretarial function of a listed or large, multinational private company with strong experience in global entity management.

·  Ability to clearly and concisely communicate with a range of stakeholders using appropriate styles in an engaging manner.

·  Ability to join the dots and understand the impact of business requests to ensure this is reflected in advice given and effective delivery of actions.

·  Ability to proactively manage workload and work autonomously by taking responsibility and accountability for certain workstreams.

·  Excellent attention to detail and ability to handle sensitive and confidential work.

·  Good working knowledge of Blueprint Oneworld

Preferred:

·  Experience in professional services in a multi-jurisdictional, client-facing role

·  Proven experience of prioritising and working to deadlines, with the ability to work in a fast-paced environment

·  Technical / professional qualifications:

·  ICSA qualified (part qualified would be considered)


Key performance indicators:

·  Secretariat elements of the Legal VSGM and personal goals and objectives based on: strong working relationship with key stakeholders, strong technical skills and ability to prioritise delivery of work to align with strategic objectives.

Key stakeholders: GC/Company Secretary, Head of Secretariat, Senior Assistant Company Secretary, Legal VPs, Outsource provider(s), Regional Legal contacts, Group & regional Finance, Treasury, Tax colleagues, external auditors. Share plans team, UK share registrar
