Your new Role
To provide a first class company secretarial service to the Board and all Board Committees. This is an important role that will provide advice to, and interact with, people at all levels of the organisation and is responsible for ensuring compliance with relevant company law, regulation and best practice, in supporting the Board in the performance of its duties.
What we are looking for to fulfil the new and exciting role with us
(Ongoing, longer-term items)
- Providing a comprehensive and professional in-house company secretarial service to the Board, including acting as the frontline contact for Non-Executive Directors (NEDs)
- Supporting the Company Secretary on the preparation and provision of papers, arranging meetings, agenda setting, logistics, etc
- Minuting Board and Committee meetings
- Planning future Board & Committee Calendar dates in liaison with Chairman and CEO and in conjunction with Finance, Co Sec and other relevant departments
- Planning and organising induction programmes for NEDs
- Advising Directors on their duties as a director
- Advising on corporate governance processes (e.g., matters reserved to the Board, delegated authority framework, and policies)
- Monitoring, analysing and implementing relevant new corporate legislation and regulation
- Supporting the business as required on any other Company Secretarial matters
Hopefully a description of you and your experience!
- An Associate of the Institute of Chartered Secretaries and Administrators (ICSA)
- Extensive company secretarial experience, particularly transaction work and corporate governance
- Capacity and confidence to manage a process/transaction with Board Directors i.e., CEO and Chairman
- Ability to manage and co-ordinate both projects and people against tight deadlines, often in relation to significant projects
- Excellent interpersonal skills including the ability to influence and negotiate at all levels up to and including executive and non-executive main board directors
- Willingness to take a pro-active not reactive role with senior members of the management team and as such be able to earn and retain their trust
- Excellent written and verbal communication skills
- Effective at building and sustaining working relationships with colleagues throughout the business
- Able to work on several projects at the same time and prioritise effectively
- Good general business acumen (preferable experience in data-rich analysis-driven organisations)
- Ability to build strong working relationships with peers and stakeholders
- Creative, proactive and eager to learn
