Job Description

You will be supported by the COO, CEO and other members of the senior leadership team and will be part of the broader finance function. The work is people focused, your work will make a significant difference to employees, the senior leadership team, the board and to investors. The role is very flexible and would suit any type of working hours and patterns.
The expectation is that the in-house legal requirements will continue to grow with the organization and so in future this role will be hiring administrative assistants and other roles as needed. As such we are searching for a driven individual with relevant corporate law experience and interpersonal skills who enjoys a challenge in a busy, fast paced environment.

  • Managing and communicating with employees in relation to the Company Share Schemes - EMI, CSOP & Unapproved Scheme
  • Manage company filings with Companies House and HMRC
  • Manage the Company Cap Table - this will involve rolling out new cap table management software and keeping up to date on a day-to-day basis
  • Management and attendance at Board and committee meeting processes in line with legal, regulatory, and quality requirements
  • Acts as a valuable resource to board and senior stakeholders, advising and working closely together on various assignments
  • Monitoring changes in legislation and taking appropriate action and providing advice to the board of directors, accounting team and legal team maintaining good knowledge of governance best practice, relevant issues, statutory requirements, and regulations
  • Assist in the set-up of new entities, as required & setting up board and shareholder meetings
  • Drafting appropriate terms of reference for board and committees and keeping them under regular review
  • Liaising with our current external legal advisors as necessary

Required Knowledge, Skills, and Abilities
  • ICSA Company Secretary Qualification
  • Law degree, preferably in Corporate Law
  • Excellent knowledge and experience in statutory law and best practice / corporate governance
  • 3-5 year’s experience of Company Secretarial work
  • Excellent interpersonal, communication and facilitation skills to develop and maintain good working relationships; ability to effectively advise senior staff up to and including Executive and Non-Executive Directors
  • Ability to assemble and communicate complex information and advice including ability to draft company secretarial documents
  • Excellent skills in managing deadlines, timetables, multi-tasking, and priorities
